1. About these Terms

These Terms of Service (the “Terms”) govern your access to and use of expertise.stonecladmedia.com (the “Site”) and the Blueprint generation service offered on the Site (together, the “Service”), which is provided by Stoneclad Media LLC, an Oklahoma limited liability company (“Stoneclad,” “we,” “us,” or “our”). By using the Site or submitting the Blueprint form, you (“you” or “your”) agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the Site.

2. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Service. The Service is intended for business professionals, founders, coaches, consultants, and experts evaluating whether to work with Stoneclad. By using the Service, you represent and warrant that you meet these requirements.

3. What the Service is

The Service lets you submit a short profile of your expertise, audience, and goals. We then generate a personalized written document (the “Blueprint”) using an AI model and email it to you or provide it on a page you can revisit. We also offer a free strategy call through a scheduling link, and we may send follow-up educational and marketing communications.

The Blueprint is provided free of charge as a sample of Stoneclad's approach. We may change, suspend, or discontinue the Service or any part of it at any time without notice.

4. Your information and accuracy

You agree to provide accurate, current, and complete information when you submit the form. You understand that the quality and relevance of the Blueprint depends on the information you give us. We have no obligation to verify what you submit and are not responsible for any consequences of inaccurate information.

5. Intellectual property

5.1 The Site and the Stoneclad framework

The Site, all software, text, graphics, design, the Stoneclad Expertise-to-Asset framework, and all related materials (the “Stoneclad IP”) are owned by Stoneclad or its licensors and are protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms transfers any ownership of the Stoneclad IP to you.

5.2 Your Blueprint

Subject to your compliance with these Terms, we grant you a perpetual, worldwide, non-exclusive, non-transferable, royalty-free license to use the Blueprint that the Service generates from your specific submission for your own internal business purposes — including implementing the recommendations inside your own company.

You may not (a) resell, sublicense, or distribute the Blueprint as a commercial product; (b) train an AI model on the Blueprint; (c) hold out the Blueprint, or any derivative of it, as your own framework, method, or proprietary system; or (d) remove or alter any Stoneclad attribution, marks, or notices that appear on the Blueprint.

5.3 AI-generated content

The Blueprint is generated in whole or in part by an AI model based on the information you submit. The output is not guaranteed to be unique; similar inputs from other users may produce similar outputs.

6. Communications consent

By submitting the Blueprint form, you consent to receive emails from Stoneclad relating to:

• Delivery of your Blueprint and related transactional notices;
• Follow-up educational, marketing, and promotional content about Stoneclad services and offerings;
• Strategy-call reminders and scheduling messages.

You can unsubscribe from marketing emails at any time using the link in any marketing email. Service-related emails (e.g., delivering your Blueprint) will continue. If you provide a phone number when booking a strategy call, you separately consent to receive call-confirmation and reminder messages through the scheduling provider; messaging and data rates may apply.

7. Acceptable use

You agree not to:

• Submit false, misleading, automated, or fraudulent submissions, or use anyone else's information without permission;
• Use the Service for any unlawful, infringing, harassing, or harmful purpose;
• Scrape, crawl, or use any automated means to access the Site beyond ordinary browser use, except for public-search-engine indexing in accordance with our robots policy;
• Reverse engineer, decompile, or attempt to extract the underlying prompts, models, or systems behind the Service;
• Interfere with, disrupt, attack, or attempt to gain unauthorized access to the Site, our infrastructure, or any other user;
• Use the Service to develop or train a competing product or model;
• Submit any information that is sensitive personal data, government ID numbers, financial-account numbers, health information, or any information you are not legally permitted to share.

We may suspend or terminate access for any violation of these rules.

8. No professional advice

The Blueprint and any communications from Stoneclad are provided for general informational and educational purposes only. They are not legal, tax, financial, accounting, medical, therapeutic, or other professional advice. You should consult a qualified professional before acting on any information you receive from us. Your use of the Blueprint is at your sole risk.

9. No earnings or results guarantee

Any examples of revenue, results, or business outcomes mentioned on the Site, in the Blueprint, or in our follow-up communications (including case studies and testimonials) are illustrative and reflect specific circumstances of specific clients. They are not promises, forecasts, or guarantees of the results you will achieve. Business outcomes depend on many factors outside our control, including your market, capital, effort, timing, and execution. You assume full responsibility for any decisions you make based on the Blueprint or our communications.

10. Third-party services and links

The Site uses and links to third-party services (including Google, Meta, Vercel, Supabase, Resend, Anthropic, and GoHighLevel) described in our Privacy Policy. We are not responsible for the availability, terms, or content of third-party services and recommend you review their terms and privacy policies.

11. Disclaimers

THE SITE, THE BLUEPRINT, AND ALL OTHER MATERIALS PROVIDED THROUGH THE SERVICE ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. To the maximum extent permitted by law, Stoneclad disclaims all warranties, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and quiet enjoyment. We do not warrant that the Service will be uninterrupted, secure, error-free, or that the Blueprint will be accurate, complete, current, or suitable for your situation.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL STONECLAD OR ITS OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SERVICE WILL NOT EXCEED ONE HUNDRED US DOLLARS (US$100). Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above may not apply to you in full.

13. Indemnification

You agree to indemnify, defend, and hold harmless Stoneclad and its officers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your breach of these Terms, (b) your use of the Service, (c) your violation of any law or third-party right, or (d) any content you submit.

14. Termination

These Terms remain in effect while you use the Service. We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including suspected violation of these Terms. Sections 5, 6, 8–13, 15, and 17 survive termination.

15. Governing law and dispute resolution

These Terms are governed by the laws of the State of Oklahoma, United States, without regard to its conflict of laws principles. Except as set forth below, any dispute, claim, or controversy arising out of or related to these Terms or the Service will be resolved exclusively in the state or federal courts located in Tulsa County, Oklahoma, and you and Stoneclad consent to personal jurisdiction in those courts.

Informal resolution first. Before filing a claim, you agree to try to resolve the dispute informally by emailing michael@stonecladmedia.com and giving us at least thirty (30) days to respond.

Class-action waiver. Any dispute will be brought in your individual capacity and not as a plaintiff or class member in any purported class, collective, or representative action.

16. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date at the top and, where required, provide additional notice. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

17. Miscellaneous

These Terms and the Privacy Policy are the entire agreement between you and Stoneclad regarding the Service. If any provision is held unenforceable, the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver of that provision. You may not assign these Terms without our prior written consent; we may assign these Terms freely. There are no third-party beneficiaries.
